Guide to Securing a Virtual Asset License in Abu Dhabi (ADGM)

ADGM Virtual Asset Licensing Guide - Navigating FSRA Compliance & Regulatory Pathways

The Abu Dhabi Global Market (ADGM) is an international financial center with a legal framework based on English Common Law. The Financial Services Regulatory Authority (FSRA) is the independent regulator responsible for licensing and supervising entities engaging in virtual asset activities within ADGM.

Regulatory Framework & Licensed Activities

The FSRA's Virtual Asset Framework regulates a wide range of activities. To conduct any of these activities, a firm must obtain a Financial Services Permission (FSP) from the FSRA.

1. Regulated Activities Include:

  • Dealing in investments as principal or agent: A firm buys or sells virtual assets on its own behalf or on behalf of clients.
  • Arranging deals in investments: Facilitating transactions between two or more parties.
  • Advising on investments: Providing professional advice on virtual assets.
  • Providing custody: Safekeeping and securing virtual assets.
  • Operating a Multilateral Trading Facility (MTF): Operating a platform for the exchange of virtual assets.
  • Managing assets: Managing a portfolio of virtual assets on behalf of clients.

2. Critical Prohibition:

The FSRA expressly prohibits Authorised Persons from dealing in, or providing services relating to, certain high-risk Virtual Assets, including Privacy Tokens and Algorithmic Stablecoins (or digital assets employing similar technology).

Determine the Appropriate License Category & Capital

The FSRA's licensing framework is based on the nature and risk of the activities. The minimum capital must be held in fiat form.

License CategoryDescriptionMinimum Capital Requirement
Multilateral Trading Facility (MTF)Operating trading platforms for virtual assetsAn amount equal to six months' operational expenses PLUS an additional buffer amount of up to a further six months' operational expenses.
CustodianProviding custody services for virtual assetsBase Capital Requirement of $250,000 OR Expenditure Based Capital Minimum (EBCM) of 6 months of Annual Audited Expenditure (AAE).
Broker-DealerDealing in investments as principal or agentThe requirements are generally aligned with those for traditional financial assets (e.g., higher of a Base Capital amount or a percentage/fraction of operational expenses, depending on the specific license category).

Asset ManagementManaging assets on behalf of clients

Note on Accepted Virtual Assets (AVA): CASPs can only conduct regulated activities in relation to Accepted Virtual Assets (AVAs). Firms operating MTF/Brokerage desks are required to perform a self-assessment of a token against FSRA criteria and notify the FSRA for listing.

Prepare & Submit the Application

The application process is meticulous and involves several key stages:

  1. Initial Engagement: Contact the FSRA's Authorisation team for a preliminary discussion. A draft regulatory business plan should be submitted for initial feedback.
  2. Legal Entity & Physical Presence: Incorporate a company within ADGM and secure an office premises. The FSRA requires a genuine physical presence for all key operational and compliance functions.
  3. Documentation: Prepare a comprehensive application package that includes:
    • A detailed business plan.
    • Organizational structure and ownership details.
    • Robust AML/CFT policies and procedures.
    • Secure technology and cybersecurity systems, as per the FSRA's specific guidelines.
    • Audited financial statements and tax returns (if applicable).
  4. Formal Application: Submit the completed application forms and supporting documentation, along with the application fee (e.g., AED 10,000 for an initial application, with additional fees for specific regulated activities).

FSRA Review and License Grant

The FSRA conducts a thorough assessment, focusing on the fitness and propriety of management, the business model's viability, and the robustness of the compliance framework.

  • In-Principle Approval (IPA): If the assessment is successful, the FSRA issues an IPA, which outlines a set of preconditions.
  • Final Permission: The applicant must fulfill all IPA preconditions, which typically include depositing the required capital in a local bank account and finalizing office setup. After these are met, the FSRA grants the final Financial Services Permission (FSP), allowing the firm to commence operations.
  • Timeline: The regulatory review itself can take 90-120 days. The overall process, from initial preparation to final license, typically takes 3 to 6 months, depending on the firm's preparedness.

Ongoing Compliance & Supervision

Once licensed, a firm is subject to continuous supervision, including:

  • Regular Reporting: Submission of periodic financial and compliance reports to the FSRA.
  • Audits: Undergoing regular audits by accredited auditors.
  • Risk Management: Continuous monitoring and management of operational and market risks.
  • Notification Requirements: Promptly notifying the FSRA of any material changes to the business or ownership structure.

Taxation Overview

  • Corporate Tax: The ADGM has a 0% corporate tax rate on Qualifying Income.
  • Personal Tax: There is no personal income tax on employee income.
  • VAT: A 5% Value Added Tax (VAT) may apply to the provision of virtual asset services.
