Guide For Obtaining A Digital Payment Token Service License in Singapore

Guide to Obtain a Digital Payment Token License - Navigating MAS Regulation under the Payment Services Act

Singapore has a highly structured and pragmatic regulatory framework for crypto assets, overseen by the Monetary Authority of Singapore (MAS). DPT service providers are regulated under the Payment Services Act (PSA), which provides the guidelines for obtaining a Digital Payment Token Service license.

1. Establish a Local Entity

To apply for a MAS license, a business must first establish a legal presence in Singapore.

  • • Incorporation: The entity must be incorporated as a Private Limited Company through the Accounting and Corporate Regulatory Authority (ACRA).
  • • Local Management: At least one Executive Director or Chief Executive Officer (CEO) must be a Singapore Citizen or Permanent Resident, OR one Executive Director/CEO must be a Singapore Employment Pass holder AND at least one other director is a Singapore Citizen or Permanent Resident.
  • • Physical Address: A local registered address is required.

2. Identify the Right License Category

MAS provides three tiers of licenses, each with distinct requirements based on the scope and scale of services.

License TypeDescription & ThresholdsMinimum CapitalPermitted DPT Services
Money-Changing LicenseFor firms that only provide services for buying or selling foreign currency notes.N/A (No minimum capital)None. This license is strictly for fiat-to-fiat exchange and does not cover DPT services.
Standard Payment InstitutionFor firms whose monthly transaction volume for any single DPT service is up to SGD 3 million or SGD 6 million for two or more services.SGD 100,000All DPT services (exchange, transfer, custody) as long as they operate within the specified thresholds.
Major Payment InstitutionFor firms whose transaction volumes exceed the thresholds for a Standard PI. MPI's are also required to maintain a security deposit (cash or guarantee) of S$100,000 or S$200,000 depending on the average monthly transaction volume.SGD 250,000All DPT services (exchange, transfer, custody) without transaction volume limits.

Note: The Money-Changing License is strictly for fiat-to-fiat currency exchange and does not cover any DPT services.

3. Prepare the MAS License Application

This is the most critical phase and requires a thorough set of documents.

  • • Business Plan: A clear articulation of services, product structure, customer segments, and financial projections.
  • • Risk Framework: A detailed analysis of operational, compliance, financial, and technology risks.
  • • AML/CFT Policies: Robust policies in line with MAS Notice PSN02, covering customer due diligence, transaction monitoring, and suspicious activity reporting.
  • • Technology Risk Management (TRM): A comprehensive framework for cybersecurity, business continuity, and system resilience.
  • • Governance Framework: Documentation of the firm's board structure, roles of key executives, and internal compliance processes.
  • • External Audits: An independent external auditor's assessment report on the firm's proposed AML/CFT and consumer protection processes is mandatory. This report must be dated within three months of the application.
  • • Legal Opinion: A legal opinion from an experienced Singapore-based law firm confirming that the firm's business model is compliant with the PSA is also required.
  • • Fit and Proper Declarations: Declarations for all directors, ultimate beneficial owners, and key executives must be submitted.

4. Submit Application & Regulatory Review

All applications are filed via the MAS online submission portal, MAS GO. The application fees are SGD 1,000 for an SPI and SGD 1,500 for an MPI.

  • • Review Criteria: MAS will assess the firm's financial soundness, AML/CFT compliance readiness, governance adequacy, and the integrity of key personnel.
  • • Timeline: The regulatory review process can take up to 12 months. MAS may place applications on hold for up to six months if they are deemed insufficiently ready.
  • • Feedback Loop: Applicants should be prepared for MAS to request clarifications, additional documents, and interviews with directors.

5. Conditional Approval and Final Requirements

Upon passing scrutiny, MAS issues a "Notice of In-Principal Approval" (IPA), which is contingent upon:

  • • Hiring key compliance personnel.
  • • Implementation of core operational controls.
  • • Submission of a final checklist of policies and operational readiness proof.

Once all IPA conditions are met, MAS issues the full DPT license.

Post-Licensing Compliance & Obligations

Licensed DPT providers must comply with ongoing obligations, including:

  • • Regulatory Reporting: Submitting monthly, quarterly, and annual reports to MAS.
  • • AML/CFT Monitoring: Conducting continuous transaction monitoring and suspicious activity reporting.
  • • Regular Audits: Undergoing regular independent audits.
  • • Operational Updates: Timely notification of any changes in business activities, directors, or shareholding.
  • • Consumer Protection: Implementing clear policies for consumer protection and dispute resolution.

Taxation Overview

Corporate Income Tax

  • • A DPT service provider, being a corporate entity, is subject to a flat 17% corporate income tax on its chargeable income.
  • • New start-up companies may benefit from tax exemptions, significantly reducing their effective tax rate for the first few years.
  • • For the Year of Assessment (YA) 2025, a 50% Corporate Income Tax Rebate is granted on the tax payable, capped at SGD 40,000.

Income vs. Capital Gains

  • • Singapore does not have a capital gains tax. If a company holds crypto as a long-term investment, any profit upon disposal is generally not taxable.
  • • However, if the company's activities are considered a business (e.g., active trading, providing services, or receiving crypto as a form of payment), the profits are treated as income and are subject to corporate tax.
  • • IRAS determines whether an activity constitutes a business based on factors such as the frequency of transactions, the length of the holding period, and the scale of the operation.
